Jim Mustard B.A. Sc. P.Eng - Director
Jim worked in the mining finance sector for over 15 years as both a VP and Senior Mining Analyst and VP Investment Banking with Haywood Securities and PI Financial. He also served as President of Canada Zinc Metals Inc.; and is currently a Director of Explorex Resources Inc. and Kilo Goldmines Inc. and is President & CEO of Four Nines Gold Inc. Before working in the capital markets, he managed a diverse range of projects from exploration to operating mines.
He brings to Cipher an ability to combine an extensive technical knowledge with a deeply embedded financial discipline that focuses on the value proposition supporting investment decisions.
Jim has a Bachelor of Applied Science in Geological Engineering from Queens University, Kingston. He is a registered Professional Engineer with the Associated of Professional Engineers and Geoscientists of BC.
Guy-Philippe Bertin - Director
Mr. Bertin graduated from Sciences-Po Paris (IEP) in 1988, where he earned two masters of finance. He has been a member of the Societe Francaise des Analystes Financiers since 1991 and was a research analyst for 14 years from 1989 to 2004, including six years at Jefferies, where he followed the commodities sector until early 2004. Mr. Bertin launched and managed two Autorite des Marches Financiers commodities funds at Societe Privee de Gestion de Patrimoine from 2004 to 2008. In 2006, one of the funds achieved the Best Performance ranking within its category by Boursorama/Morningstar. Mr. Bertin’s second fund was ranked second out of 2,242 funds in France at the end of 2007. Mr. Bertin has managed more than 400 million euros in commodity-related equity investments and has underwritten over 300 commodity-related deals for these funds. Mr. Bertin is based in London, England
Paul Mainwaring - Director
Mr. Mainwaring is a vice-president at Endeavour Financial and has over 15 years of experience in corporate finance. During the last 11 years, while at Endeavour, Mr. Mainwaring has focused on financings in the natural resources sector, including project, corporate and debt capital markets, commodity-linked and equity-linked financings, and mergers and acquisitions. Mr. Mainwaring has extensive experience in cash flow modelling, financial analysis, valuation, debt advisory, deal structuring, and the negotiation, documentation and execution of transactions. Prior to joining Endeavour, Mr. Mainwaring worked for PricewaterhouseCoopers in its valuation and strategy department. Mr. Mainwaring is a CFA charterholder and has an MEng (honours) in chemical engineering from the University of Birmingham, England. Mr. Mainwaring is based in London, England.
David Rhodes – Director
Mr. David Rhodes is a Managing Director at Endeavour Financial. His experience in the natural resource business spans more than twenty-five years, having arranged, structured and advised on over $4.5 billion of resource related projects around the world. Mr. Rhodes career prior to joining Endeavour was at Standard Bank, Barclays Capital and Royal Bank of Scotland. At Standard and Barclays, he sourced, structured and syndicated finance for resource projects and companies on a global basis.
Having lived and worked in London and New York he has international experience of the CIS, North/South American, European and African markets. Mr. Rhodes is a member of the Institute of Financial Services and has a BSc (Hons) in Financial Services. Mr. Rhodes resides in London, UK.
Duncan Gordon – Director
Mr. Gordon is a Canadian businessman and financier. Mr. Gordon serves as the President of Ivy Capital Corp., a firm dedicated to providing financing services and strategic plans for companies seeking guidance through the capital raising process. He has a wide range of financial transaction experience in originating and structuring deals which range from traditional equity to debt and alternative financing options. Mr. Gordon was formerly a Vice President and Senior Investment Advisor at Canaccord Genuity Wealth Management for over 17 years. His dedication to his clients, passion and knowledge resulted in him being honored with membership into the Chairman’s Club, placing him as owning one of the top 20 investment advisory practices in Canada. Mr. Gordon’s long-term focus and support of the junior mining arena has led to a niche specialization as a leading financier who has raised over $500M throughout his career.
Jeremy Bond – Director
Mr. Bond is the Chief Investment Officer and founder of Terra Capital Natural Resource Fund (“Terra Capital”) the holder of 10 million shares (16.66%) of the Company. Terra Capital is a specialist investment manager with a proven track record of performance, a focus on risk management and with a management team that is strongly aligned with investors. Mr. Bond previously worked as an analyst at RAB Special Situations Fund at RAB Capital Plc. The RAB Special Situations Fund had an investment bias towards natural resources and was previously rated the Best Energy and Natural Resources Fund by Hedge Fund Review in 2007 and ranked No 1 in Barron’s Hedge Fund 50 Global rankings in 2007. Prior to joining RAB in 2007, Mr. Bond was an Associate at Azure Capital, a boutique investment bank based out of Perth, WA. Here he worked on numerous merger and acquisitions, as well as being involved in a number of capital raisings in the small cap sector.
Alexandra Woodyer Sherron - President and CEO
Alexandra has over 20 years of management experience in the mining industry. Alexandra started at PricewaterhouseCoopers before joining Endeavour Financial, a global mining finance advisory firm.
During her investment banking career in London, she was Director Structured Financing and involved in the successful completion of over US$1.5 billion in financings for clients including Bema Gold (Kupol Mine), European Minerals (Varvarinskoye Mine), Nevsun Resources (Bisha Mine), Uranium One and Wheaton River Minerals.
Dan O’Brien – CFO
Dan O’Brien is the Chief Financial officer of Cipher Resources Inc. Dan is a member of the Chartered Professional Accountants of British Columbia. He is also Chief Financial Officer for a number of publicly listed exploration companies trading on the TSX and TSX Venture exchanges. Mr. O’Brien was previously a senior manager at a leading Canadian accounting firm where he specialized in the audit of public companies in the mining and resource sector.
Doris Meyer - Corporate Secretary
Doris Meyer is the Corporate Secretary of Cipher Resources Inc. Ms. Meyer gained her early experience in the mining industry as Vice President Finance of Queenstake Resources Ltd. from 1985 to 2003. Ms. Meyer launched her private company Golden Oak Corporate Services Ltd. in October 1996 with Queenstake as her first client. Since that time, Golden Oak has provided publicly traded mineral exploration companies with administrative, financial reporting and corporate compliance services.
